<p></p> <p><b>新页面</b></p><div>{{wiki置顶}}<br /> =历史沿革=<br /> 2014年4月8日　　国家税务总局关于中粮集团所属境外企业认定为居民企业的批复　　税总函〔2013〕183号　　2014年4月8日　　执行<br /> <br /> =正文=<br /> 北京市国家税务局：<br /> <br /> 　　你局《关于中粮集团（香港）有限公司等164家境外注册中资控股企业认定为居民企业的请示》（京国税发〔2012〕247号）收悉。经研究，批复如下：<br /> <br /> 　　一、实际管理机构与居民企业判定<br /> <br /> 　　根据来文及所附资料，中粮集团（香港）有限公司等164家境外企业（名单及相关情况附后）的基本情况如下：<br /> <br /> 　　（一）中粮集团（香港）有限公司等164家境外企业系由中粮集团有限公司分别在香港、萨摩亚、百慕大、英属维尔京群岛依照当地法律投资成立的境外注册中资控股公司。中粮集团有限公司为该164家境外企业的主要投资者和实际管理机构，注册地址为北京市朝阳区朝阳门南大街8号中粮福临门大厦。<br /> <br /> 　　（二）中粮集团有限公司明确规定集团下属企业需由集团派出董事。中粮集团（香港）有限公司等164家境外企业，除外方董事、独立董事外，主要董事均由集团领导成员、职能部门经理人、集团经理人担任，主要董事人数均占具有投票权董事的1/2以上。负责企业生产经营管理运作的高层管理人员，即中粮集团有限公司经理人、前述主要董事，均在中国北京常住。中粮集团（香港）有限公司等164家境外企业的日常生产经营管理及重大事项决策均由中粮集团有限公司负责。<br /> <br /> 　　（三）中粮集团（香港）有限公司等164家境外企业的财务决策（如借款、放款、融资、财务风险管理等）和人事决策（如任命、解聘和薪酬等）均需得到中粮集团有限公司批准。<br /> <br /> 　　（四）中粮集团（香港）有限公司等164家境外企业的财产主要为其直接或间接拥有的位于中国境内的工厂，这些企业的资产及日常运营均在中国境内，其会计账簿、公司印章、董事会和股东会议纪要档案等均存放于中国境内。<br /> <br /> 　　根据《[[中华人民共和国企业所得税法]]》、《[[中华人民共和国企业所得税法实施条例]]》以及《[[国家税务总局关于境外注册中资控股企业依据实际管理机构标准认定为居民企业有关问题的通知]]》（国税发〔2009〕82号）的规定，中粮集团（香港）有限公司等164家境外企业具备中国居民企业相关规定条件，其实际管理机构均在中国，应判定其为中国的居民企业，并实施相应税收管理，自2013年1月1日起开始执行。<br /> <br /> 　　二、中粮集团（香港）有限公司等164家境外企业作为实际管理机构在中国的居民企业，应依照税收法律、法规的规定享受相应的税收待遇及承担相应的税收义务。上述公司的投资者从该企业取得的股息、红利等权益性投资收益应按由我国居民企业支付的权益性投资收益进行税务处理。支付的上述所得属于向中国居民企业支付的部分，根据《[[中华人民共和国企业所得税法]]》第二十六条第（二）项以及有关法律法规的规定为免税收入;属于向非居民企业支付的应依法代扣代缴所得税的部分，并应由该企业向其实际管理机构所在地主管税务机关依法申报代扣代缴所得税。<br /> <br /> 　　三、非境内注册居民企业的税务管理依照《[[国家税务总局关于印发《境外注册中资控股居民企业所得税管理办法（试行）》的公告|国家税务总局关于印发〈境外注册中资控股居民企业所得税管理办法（试行）〉的公告]]》（国家税务总局公告2011年第45号）执行。对擅自转换企业身份套取税收利益的，按照《[[中华人民共和国税收征收管理法]]》及有关规定处理。<br /> <br /> 　　附件：[[#中粮集团（香港）有限公司等164家境外企业名单|中粮集团（香港）有限公司等164家境外企业名单]]<br /> <br /> ==中粮集团（香港）有限公司等164家境外企业名单==<br /> <br /> {{wiki置底}}<br /> [[Category:2014|4]][[Category:国家税务总局]][[Category:境外注册中资控股居民企业]]</div>
